AMD (NASDAQ: AMD) and Xilinx (NASDAQ: XLNX) reported entry into a definitive agreement for AMD to acquire Xilinx in an all-stock transaction that’s valued at USD 35 Billion. The transaction is expected to close immediately. The acquisition is focused on creating the industry’s high performance computing leader. AMD will offer high performance processor technologies, combining CPUs, GPUs, FPGAs, Adaptive SoCs and deep software experience focused on enabling leadership computing platforms for cloud, edge and end devices.

Xilinx shareholders will receive a fixed exchange ratio of 1.7234 shares of AMD common stock for each share of Xilinx common stock they hold at the closing of the transaction.
